This is a compelling role for attorneys with 4–6 years of experience in corporate transactional work—especially in M&A, capital formation, and startup advisory. The ideal candidate is business-minded, independently driven, and eager to grow across a wide range of corporate and securities matters.

This smaller firm located in Denver handles a wide variety of civil matters in the areas of corporate, tax, litigation and other fields. Its small size allows the firm to maintain close relationships among its attorneys and with its impressive list of national and international clients. This firm is a great place to work due to its stability, collegial atmosphere and competitive pay and benefits. 📋 Key Responsibilities:

• Advise on mergers, acquisitions, and corporate structuring for public and private clients

• Draft and negotiate organizational governance documents and business contracts

• Support clients with private securities offerings and equity incentive plans

• Represent startups and early-stage companies during entity formation and capital raises

• Assist with trademark filings, IP licensing, and protection strategies

• Guide clients through secured lending, financing, and debt structuring

• Provide tax-planning guidance for individuals, nonprofits, and partnerships

• Counsel on advertising law, sweepstakes, and shareholder/member disputes

• Conduct legal research and draft formal memoranda

• Manage ongoing client relationships and communications

✅ Qualifications:

• 4–6 years of corporate/business transactional experience, ideally in a law firm or in-house setting

• JD from an accredited law school

• Colorado Bar admission or eligibility for reciprocal admission

• Strong drafting, issue-spotting, and negotiation skills

• Proven ability to handle matters independently

• Excellent verbal and written communication skills

• Solid business judgment and client-centric approach

• Interest in learning across diverse legal areas
